AiXGent Terms of Service

These Terms of Service ("Terms") govern your use of AiXGent's services and websites: aixgent.ai, shepherd.aixgent.ai, demo-pa.aixgent.ai, agentx-demo.pages.dev, bmskc.lovable.app, and mckee.lovable.app. By using any of these sites, you agree to these Terms.


1. Acceptance of Terms

By accessing or using any AiXGent service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2. Description of Service

AiXGent is an AI agent orchestration platform operated by MFoster LLC. Our services include:

AiXGent is a technology platform, not a licensed professional service. We provide AI-generated information and assistance — we are not a law firm, medical practice, licensed mental health provider, financial advisor, or any other licensed professional service.


3. AI Disclaimer — Important

All responses generated by AiXGent's AI features are produced by artificial intelligence (powered by Anthropic's Claude API). AI-generated responses:

Always consult a qualified professional before making important decisions based on information you receive from an AI system. AiXGent is not liable for decisions made in reliance on AI-generated responses.


4. Counselor & Pastor Mode Disclaimer — Shepherd

Shepherd (shepherd.aixgent.ai) offers AI personas including Pastor, Counselor, and Mentor modes. These are AI-generated support tools, NOT licensed services:

We built Shepherd because we believe AI can provide meaningful support and a compassionate presence — but we are honest about what it is and what it isn't.

By using AiXGent services, you agree to:

Violation of these responsibilities may result in immediate termination of your access without notice.


6. Intellectual Property

AiXGent platform, branding, code, designs, and content are owned by MFoster LLC and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our platform without written permission.

Your content stays yours. Anything you type into our AI interfaces remains your intellectual property. You grant AiXGent a limited license to process your content solely for the purpose of delivering the service to you. We do not claim ownership of your conversations.

AI-generated responses are produced dynamically and are not owned by either party in the traditional sense — treat them as informational output, not copyrighted works.


7. Third-Party Frameworks — Lencioni & Fisher

Some AiXGent features reference or apply conceptual frameworks developed by Patrick Lencioni (e.g., Five Dysfunctions of a Team) and Roger Fisher / William Ury (e.g., Getting to Yes / principled negotiation concepts).

If you believe we have inadvertently reproduced copyrighted material, please contact admin@aixgent.ai immediately.


8. Limitation of Liability

To the fullest extent permitted by applicable law, MFoster LLC and AiXGent shall not be liable for:

Our total liability to you for any claim arising from use of our services shall not exceed the amount you paid us in the 12 months preceding the claim (or $100 if you have not paid us anything).

Some jurisdictions do not allow limitation of certain damages — in those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless MFoster LLC, AiXGent, and their officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

These Terms are governed by the laws of the State of Kansas, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved in the courts of Missouri. You consent to the personal jurisdiction of those courts.

If you are located outside the United States, you agree that your use of our services is voluntary and that Missouri law governs regardless of your location.


11. Enterprise Clients

If you are accessing AiXGent services under an enterprise agreement (including clients of BMS Trucking SaaS or other enterprise deployments), the terms of your enterprise agreement govern in the event of any conflict with these general Terms of Service.

Enterprise clients may have additional data processing agreements, BAAs, SLAs, or custom terms negotiated separately. Contact admin@aixgent.ai for enterprise inquiries.


12. Healthcare Demo — Not a Covered Entity

demo-pa.aixgent.ai is a technology demonstration, not a production healthcare service:

We build these demos to show what's possible — but we're transparent that the demo and production requirements are very different.


13. Changes to Terms

We may update these Terms as our services evolve. When we make material changes, we will update the Effective Date at the top of this document.

Continued use of our services after a Terms update constitutes your acceptance of the revised Terms. If you disagree with changes, please stop using the services and contact us.

We'll make reasonable efforts to notify users of significant changes, but it's your responsibility to review these Terms periodically.
